Senior Legal Counsel
Multinational Pharmaceutical Company
Boomerang is looking for a Senior Legal Counsel to join a multinational pharmaceutical company in Barcelona.
Role Purpose
The Senior Legal Counsel sees legal as a business enabler and will act as a strategic partner to senior leadership and to Commercial and Business Development teams.
This is a senior, high-impact role with strong exposure to the business and significant autonomy, focused on the negotiation, drafting and management of complex pharma agreements, with a particular emphasis on licensing-related work and international deals.
Key Responsibilities
1. Strategic Legal Advice
• Provide senior, pragmatic and business-oriented legal advice across key functions (Business Development, Commercial, Finance, Operations, Procurement, HR).
• Identify, assess and mitigate legal risks in strategic initiatives, proposing practical solutions aligned with growth objectives.
• Act as a trusted internal legal reference, ensuring preventive, value-adding support to the business.
2. Complex Contracting & Licensing (core of the role)
• Lead the drafting, review and negotiation of complex agreements, both domestic and international, across the scope/markets supported.
• Drive pharma licensing work, with proven hands-on experience negotiating agreements such as:
o License & Supply Agreements
o Technology Transfer Agreements
o Contract Manufacturing / CMO Agreements
o Distribution Agreements
o Supply / Sub-distribution (as applicable) and related agreements
• Advise on a broader set of agreements including collaboration, supply, services, confidentiality and other strategic third-party contracts.
• Ensure consistency with Group legal standards, templates, policies and governance requirements.
3. Business Development & Operations Support
• Provide legal support to growth initiatives, strategic alliances and new business opportunities.
• Partner closely with Business Development teams during deal assessment, negotiation and closing phases.
• Contribute actively to strategic decision-making by providing legal insight and risk mitigation recommendations.
¿Qué te hace destacar?
Requirements
• Law degree (LL.B. / equivalent).
• Minimum 8 years’ relevant legal experience, ideally combining private practice and in-house exposure within pharma / healthcare / life sciences (or a law firm with strong pharma client exposure).
• Strong Licensing Lawyer background with solid track record negotiating complex pharma agreements (License & Supply, Tech Transfer, CMO, Distribution, Supply and related contracts).
• Sound commercial and contract law knowledge with a clear business mindset.
• Experience working with senior stakeholders (Leadership, Business Development, Finance, international teams).
• Strong plus: experience negotiating and managing partners in India and/or China.
• Valued: experience supporting procurement contracting and managing disputes/claims (pre-litigation/litigation support).
• High level of English (international environment).
